Terms of Service

1. Acceptance of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Parking Today Media.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this App. By using the App, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the App, you must create an account by providing accurate and complete information, including your email address, password, and name. We may match your email address against our existing audience database to link your profile with existing records.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You may not share your account credentials with others or allow others to access your account. Violation of this provision may result in immediate termination of your account.

3.3 Email Verification

You must verify your email address to complete registration. We will send a verification email to the address you provide. Your account will remain inactive until verification is complete.

4. User Conduct and Prohibited Activities

When using the App, you agree NOT to:

• Post, transmit, or share content that is offensive, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable
• Attempt to manipulate or game the Parking Connections raffle system, including but not limited to creating fake accounts, scanning QR codes fraudulently, or violating cooldown periods
• Share your account credentials with others or create multiple accounts for the same individual
• Use automated means (bots, scrapers, crawlers) to access, collect, or extract data from the App
• Reverse engineer, decompile, or attempt to extract the source code of the App
• Interfere with or disrupt the App's functionality, servers, or networks
• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to other users' accounts or data

Violation of these prohibited activities may result in immediate suspension or termination of your account, removal of content, and may be reported to law enforcement authorities where appropriate.

5. User-Generated Content

5.1 Types of Content

The App allows you to create and share content, including:

• Private notes on exhibitors, sessions, and connections
• Public comments on articles
• Profile information

(collectively, "User Content")

5.2 Ownership and License

Private Notes: You retain full ownership of all private notes you create within the App. These notes are visible only to you and are not shared with other users or used by Parking Today Media for any purpose other than providing the App's functionality to you.

Public Comments: For any public comments you post on articles or in other public areas of the App, you retain ownership but grant Parking Today Media a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use, reproduce, distribute, modify, adapt, publicly display, and publicly perform such content in connection with operating and promoting the App and our services. This license allows us to display your comments to other users, include them in promotional materials, and use them to improve our services.

5.3 Content Standards

You represent and warrant that all User Content you submit:

• Is accurate and not misleading
• Does not violate any third-party rights, including intellectual property rights
• Complies with all applicable laws and regulations
• Does not contain viruses, malware, or other harmful code

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion, without prior notice.

5.4 Monitoring

While we are not obligated to monitor User Content, we reserve the right to review, monitor, and remove content at our discretion. We do not endorse or assume responsibility for any User Content posted by you or any third party.

6. Parking Connections Game and Raffle

6.1 Game Mechanics

The Parking Connections Game allows users to scan QR codes of other attendees at events to create connections and earn raffle entries. Each successful scan generates two raffle entries: one for the scanner and one for the scanned user.

6.2 Anti-Gaming Rules

To ensure fairness, the following rules are enforced:

• You cannot scan the same person more than once per event
• A 5-minute cooldown period is enforced between scans
• You cannot scan your own QR code
• Automated scanning, scripting, or any form of manipulation is strictly prohibited

Violation of these rules may result in disqualification from raffles, removal of raffle entries, suspension from the Connections Game, or termination of your account.

6.3 Raffle and Prizes

Raffle drawings are conducted at the sole discretion of Parking Today Media and event organizers. Prizes, eligibility requirements, and drawing schedules may vary by event. We reserve the right to verify winners' eligibility and compliance with these Terms before awarding prizes. Winners will be notified via push notification and must respond within the timeframe specified to claim their prize. Unclaimed prizes may be forfeited.

6.4 No Guarantee of Prizes

Participation in the Connections Game and raffle entries do not guarantee that you will win any prize. Parking Today Media makes no warranties or representations regarding the value, quality, or availability of prizes.

7. Content and Intellectual Property

7.1 Our Content

All content provided by Parking Today Media through the App, including but not limited to articles, news, images, logos, graphics, software, and trademarks ("Our Content"), is owned by or licensed to Parking Today Media and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App and Our Content for your personal, non-commercial use. This license does not include any right to:

• Reproduce, distribute, modify, or create derivative works from Our Content
• Use Our Content for commercial purposes
• Remove or alter any copyright, trademark, or proprietary notices

Any unauthorized use of Our Content may violate copyright, trademark, and other laws and may result in termination of your access to the App and legal action.

8. Third-Party Content and Links

The App may contain links to third-party websites, exhibitor websites, or other external resources. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for any third-party content, websites, or services. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.

9. Privacy and Data

9.1 Privacy Policy

Your use of the App is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you consent to our collection and use of your information as described in the Privacy Policy.

9.2 Audience Database Integration

During registration, we may match your email address against our existing audience database. If a match is found, we will display the associated profile information (name, company, job title) and give you the option to confirm the match and link your App account to your existing audience database record (PTM_ID). You are not required to link your account, and you may choose to create a new profile instead.

9.3 Data Retention and Deletion

You may request deletion of your account at any time through the App settings under "Delete Account."
When you delete your account:
- Your personal profile will be permanently deleted
- Your bookmarks and connections will be removed
- Your event registrations will be cancelled
- Your room bookings will be cancelled
- Some anonymized data may be retained for legal, security, or business purposes
Before deleting your account, you have the right to export a copy of your data. This export includes all personal information we have collected about you.
We may retain certain anonymized or aggregated data for:
- Legal compliance and audit purposes (7 years)
- Security and fraud prevention - Business analytics (in anonymized form) This retained data will not identify you personally.

10. Notifications

The App may send you push notifications and in-app notifications related to:

• Schedule changes for bookmarked sessions
• New content that may be relevant to you
• Connection scans (when someone scans your QR code)
• Meeting room reminders
• Raffle winner announcements

You can manage your notification preferences in the App settings. Disabling certain notifications may affect your user experience and your ability to stay informed about important updates.

11. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Parking Today Media does not warrant that:

• The App will be uninterrupted, secure, or error-free
• The content provided through the App will be accurate, complete, or up-to-date
• Any defects or errors will be corrected
• The App or our servers are free of viruses or other harmful components

Your use of the App is at your sole risk. We are not responsible for any damages to your device, loss of data, or other harm resulting from your use of the App.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKING TODAY MEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Parking Today Media, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party rights, including intellectual property rights; or (e) any harmful or illegal activity conducted through your account.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in the App settings.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the App at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Upon request by law enforcement or other government agencies

Upon termination, your right to use the App will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14.3 Effect of Termination

Upon termination of your account, you will lose access to your bookmarked content, saved notes, connection records, and other account data. We are not responsible for the loss of this data upon termination.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes to these Terms, we will:

• Update the "Last Updated" date at the top of this document
• Provide notice via push notification, in-app notification, or email
• Provide at least 30 days' notice before material changes take effect

Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App and may request account deletion.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or the App shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

16.3 Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us to attempt to resolve any dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal remedies.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Parking Today Media regarding the App and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
